Section 1

Agreement to These Terms

By accessing or using the Uhakikihub platform at uhakikihub.com or the Uhakikihub Microsoft Word Add-in, you agree to be bound by these Terms of Service ("Terms") and our Privacy Policy, which is incorporated by reference.

If you are using Uhakikihub on behalf of an organisation you represent that you have authority to bind that organisation. If you do not agree to these Terms, do not use the service.

Section 2

The Service

Uhakikihub provides AI-powered legal research across six modes: Research (Kenyan legal questions with citations), Analysis (IRAC-structured analysis), Summarise (document summaries), Draft (contract drafting), Strategy (litigation strategy), and Document Review (automated compliance review against Kenyan law).

We reserve the right to modify, suspend, or discontinue any feature at any time with reasonable notice to registered users.

Section 3

Not Legal Advice โ€” Important Limitation

Uhakikihub is not a law firm and does not provide legal advice. The platform provides AI-generated legal information grounded in Kenyan law for informational and research purposes only. It does not constitute legal advice, does not create an advocate-client relationship, and must not be relied upon as a substitute for advice from a qualified Kenyan advocate.

AI-generated responses may contain errors; the platform does not account for your specific facts the way an advocate would; documents drafted by the platform are starting points only and must be reviewed before execution; compliance flags are AI assessments, not legal opinions. Always verify with primary sources and consult a qualified Kenyan advocate.

Section 4

Eligibility

You must be at least 18 years old to use Uhakikihub. By creating an account you represent that you are at least 18, have legal capacity to enter a binding agreement, are not prohibited from using the service, and โ€” if acting for an organisation โ€” have authority to bind it.

Section 5

Your Account

5.1 Registration

You must register for an account to access most features. You agree to provide accurate, current, and complete information and to keep it updated.

5.2 Security

You are responsible for maintaining the confidentiality of your password and for all activity under your account. Notify us immediately at support@uhakikihub.com if you suspect unauthorised access.

5.3 One Account Per Person

Each account is for one individual. Do not share credentials. Organisations seeking multi-user access should contact enterprise@uhakikihub.com.

5.4 Account Deletion

You may close your account at any time. Personal data will be permanently deleted within 30 days except where retention is required by law.

Section 6

Acceptable Use

6.1 Permitted Use

You may use Uhakikihub for lawful legal research, document drafting, analysis, and compliance review in connection with genuine legal or professional work.

6.2 Prohibited Conduct

You must not: use the platform for any unlawful purpose; upload content that infringes third-party rights or violates confidentiality obligations; attempt to circumvent security features; use automated bots or scrapers without written consent; reverse engineer the platform or AI models; generate content intended to mislead courts about Kenyan law; impersonate any person; upload malware; resell or sublicense the platform without written consent.

6.3 Enforcement

We may suspend or terminate accounts where violations are found and may report violations to law enforcement where appropriate.

Section 7

Your Content

7.1 Ownership

You retain all ownership rights in content you upload or submit, including documents and queries.

7.2 Licence to Us

By submitting content you grant us a limited, non-exclusive, royalty-free licence to process, store, and transmit it solely to provide the service to you. This licence terminates when you delete the content or close your account. We do not use your content to train AI models.

7.3 Your Responsibility

You represent that you have all rights to upload the content, it does not violate any law or third-party rights, and it is not subject to privilege or confidentiality restrictions that would prohibit its transmission to a processing service.

Section 8

Our Content and Intellectual Property

The Uhakikihub platform โ€” including its design, software, UI, brand, and curated legal database โ€” is owned by or licensed to Uhakikihub and protected by applicable intellectual property laws. You may not copy, reproduce, or create derivative works from any part of the platform without prior written consent.

Section 9

Microsoft Word Add-in

Use of the Word Add-in is subject to these Terms in addition to Microsoft's applicable terms. The plugin accesses your Word documents only when you explicitly invoke its features. See Privacy Policy Section 8 for full details.

Section 10

Payments and Subscriptions

10.1 Paid Plans

Fees are as displayed on the platform at the time of purchase, in Kenyan Shillings (KES), inclusive of applicable VAT under the Value Added Tax Act Cap 476.

10.2 Billing

Subscriptions are billed in advance on a monthly or annual basis. We do not store payment card details.

10.3 Cancellation and Refunds

You may cancel at any time. Cancellation takes effect at the end of the current billing period. We do not provide pro-rata refunds except where required by the Consumer Protection Act 2012.

10.4 Price Changes

We will give at least 30 days' notice of any price increase. Continued use after the notice period constitutes acceptance.

Section 11

Disclaimers

To the maximum extent permitted by Kenyan law: the platform is provided "as is" without warranties of any kind; we do not warrant uninterrupted or error-free operation; we do not warrant the accuracy or currency of any legal information generated; AI outputs are not legal opinions. Nothing in these Terms excludes liability that cannot be excluded under mandatory Kenyan law.

Section 12

Limitation of Liability

To the maximum extent permitted by Kenyan law, Uhakikihub shall not be liable for any indirect, incidental, special, or consequential damages; any loss of profits, revenue, or data; or any damages from reliance on AI outputs without independent professional review. Our total aggregate liability shall not exceed the fees paid by you in the preceding 12 months, or KES 10,000, whichever is greater.

Section 13

Indemnity

You agree to indemnify and hold harmless Uhakikihub, its officers, employees, and agents from and against any claims, liabilities, damages, and expenses (including reasonable legal fees) arising from your use of the platform in violation of these Terms, your content, or your violation of applicable law.

Section 14

Suspension and Termination

14.1 By You

You may close your account at any time through account settings or by emailing support@uhakikihub.com.

14.2 By Us

We may suspend or terminate your account with immediate effect for material breach, fraudulent or abusive conduct, or where required by law. Sections 3, 7, 8, 11, 12, 13, and 15 survive termination.

Section 15

Governing Law and Dispute Resolution

These Terms are governed by the laws of Kenya. Any dispute shall first be referred to mediation under the NCIA Mediation Rules. If mediation fails within 30 days, either party may refer the matter to the courts of Kenya. You irrevocably submit to the exclusive jurisdiction of the courts of Kenya.

Section 16

Changes to These Terms

When we make material changes we will update the "Last updated" date, display a notice on the platform for 30 days, and send an email notification to registered users. Continued use after the effective date constitutes acceptance.
